These Terms and Conditions ("Terms") govern your access to and use of the Webseo website, applications, and services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Webseo ("Webseo", "we", "us", or "our") provides a SEO content-automation platform for generating content, researching keywords, managing credits, and publishing to connected platforms such as Shopify.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service, you represent that you meet these requirements and that any information you provide is accurate and complete.

2. Accounts

• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

• You must notify us promptly of any unauthorised use of your account.

• We may suspend or terminate accounts that violate these Terms or that we reasonably believe are being used unlawfully.

3. Credits and Billing

• Certain features consume credits. Credits may be purchased or granted, and are deducted as you use metered features (such as content generation and keyword suggestions).

• Prices, credit costs, and plan features may change; we will provide notice of material changes where required.

• Payments are processed by our third-party payment provider (CHIP). By making a purchase, you agree to the provider's terms in addition to these Terms.

• Except where required by law, credits and payments are non-refundable. Purchased credits may expire in accordance with the plan you select.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful, harmful, deceptive, or fraudulent purpose;

• Generate or publish content that is defamatory, infringing, obscene, or otherwise violates the rights of others or applicable law;

• Attempt to gain unauthorised access to the Service, other accounts, or our systems;

• Interfere with or disrupt the integrity or performance of the Service;

• Reverse engineer, scrape, or resell the Service except as permitted by law;

• Exceed rate limits or circumvent usage or credit restrictions.

5. Your Content

• You retain ownership of the inputs you submit and, subject to these Terms, the content generated for you ("Your Content").

• You grant us a limited licence to process Your Content as necessary to operate and provide the Service.

• You are solely responsible for Your Content and for ensuring you have the necessary rights to submit and publish it.

• You are responsible for reviewing AI-generated output before publishing. See Section 6.

6. AI-Generated Content

The Service uses artificial intelligence and third-party data providers to generate content and suggestions. Output may be inaccurate, incomplete, or unsuitable for your purposes. We do not warrant the accuracy, originality, or fitness of generated content, and you are responsible for reviewing, editing, and verifying any output before use or publication.

7. Third-Party Services

The Service integrates with third-party platforms (such as Shopify and search-data providers). Your use of those platforms is governed by their own terms and policies. We are not responsible for the availability, content, or practices of third-party services.

8. Intellectual Property

The Service, including its software, design, and trademarks, is owned by Webseo or its licensors and is protected by intellectual property laws. Except for the rights expressly granted to you, no rights are transferred to you.

9. Service Availability

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEBSEO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify and hold Webseo harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, Your Content, or your violation of these Terms.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or for operational, legal, or security reasons. Upon termination, your right to use the Service ceases, though certain provisions (including Sections 8, 10, 11, and 12) survive.

14. Changes to These Terms

We may update these Terms from time to time. We will post the revised version with an updated "Last updated" date and, where changes are material, provide additional notice. Continued use of the Service after changes take effect constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the jurisdiction in which Webseo operates, without regard to conflict-of-law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.
